1. Definitions
- Client / You / Your: The individual or organization entering into an agreement with the Company.
- Project / Services: Software development, web design, mobile application, digital marketing, or any IT-related services provided by the Company.
- Deliverables: The specific output or product developed for the Client as part of the Services.
2. Scope of Services
We provide software development, web & mobile app development, IT consulting, and other technology services as per mutually agreed project proposals, quotations, or contracts. Additional work beyond the original scope may incur extra charges.
3. Quotation & Payment Terms
- Quotations are valid for 15 days.
- 30% advance payment is required to initiate the project.
- Remaining payment is due upon project completion, prior to final delivery.
- Payments via bank transfer, UPI, or authorized payment methods only.
- Late payments may incur 2% monthly interest on the outstanding balance.
4. Client Responsibilities
- Provide necessary information, content, and approvals for project execution.
- Respond to communication and feedback requests promptly.
- Ensure that any provided content does not infringe third-party intellectual property rights.
5. Intellectual Property
All custom-developed software, designs, and code remain the property of MOHPHRET TECHNOLOGIES LLP until full payment is received. Ownership of final deliverables transfers to the Client upon full payment, excluding reusable frameworks, code libraries, or third-party tools. Generic components may be reused in other projects.
6. Confidentiality
Both parties agree to keep confidential all proprietary information, business data, and trade secrets disclosed during the project. Confidential information shall not be shared without prior written consent, except as required by law.
7. Warranties & Limitations
The Company warrants that software/services will substantially perform as described for 30 days post-delivery. We do not guarantee error-free or uninterrupted services. The Company is not liable for issues arising from modifications, external system changes, third-party integrations, or hosting/server issues.
8. Maintenance & Support
Post-deployment maintenance or updates are not included unless specified. Ongoing support can be availed through a separate Annual Maintenance Contract (AMC) or service-level agreement.
9. Refund & Cancellation
No refund for services already rendered. Cancellation must be in writing and may result in forfeiture of advance. Partial refunds may be considered based on work completed, at the Company’s discretion.
10. Termination
Services may be suspended or terminated if the Client violates Terms, has overdue payments >30 days, or engages in unlawful activities. All completed work will be invoiced, and remaining dues must be cleared immediately.
11. Limitation of Liability
MOHPHRET TECHNOLOGIES LLP is not liable for indirect, incidental, consequential, or special damages, including loss of revenue, profits, or data. Total liability shall not exceed the amount paid for the project.
12. Third-Party Services
The Company is not responsible for performance, downtime, or licensing policies of third-party APIs, plugins, or hosting services used in the project.
13. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, strikes, government restrictions, internet outages, or cyber attacks.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India, and courts of Vapi, Gujarat shall have exclusive jurisdiction.
15. Amendments
We may update these Terms at any time. Updated versions will be posted on our official website.
